MIPS Tech, LLC (“MIPS”, “we”, “us”, or “our”) designs and delivers IP processors, chips, software, and tools across various markets (the “Services”). The use of the MIPS website (the “Site”) or Services is subject to the following terms and conditions (“Terms”). By accessing or using the Site or Services, you agree to these Terms in full.

If you are an individual employee or other authorized user from a current or potential customer, vendor or business partner (“company user”), please be aware that in addition to these Terms, your use of the Services is also subject to the terms of the applicable Master License Agreement, Evaluation License or Service Agreement (the “Agreement”) between MIPS and your company.

MIPS reserves the right to change these Terms at any time without notice. Any such changes will be displayed on this page of the Site. MIPS reserves the right to suspend or cancel any part of the Site and the Services at any time without notice. MIPS shall not be liable to you or to any other person in the event that all or any part of the Site or Service is discontinued, modified or changed in any way.

I. MIPS Site

  1. License to Site. The Site, its design and contents are all copyright MIPS. MIPS grants individual users of the Site a non-exclusive personal license to view and copy the material on the Site solely for personal and non-commercial use. Such license is revocable by MIPS at any time without notice. You agree not to reproduce material on the Site other than in accordance with such license and, without limitation, not to reproduce any information on the Site on any other website or in any other form. You agree not to arrange for any other website to be connected to the Site by way of hyperlink or otherwise without the prior written consent of MIPS.
  2. Discussion boards and Other User-Generated Content. The discussion boards and other MIPS and user-generated content (such as comments and blogs) are provided for your use. The views and opinions that are expressed by users (including MIPS employees) may not reflect those of MIPS.
  3. License to your Content: By submitting information to the Site, you grant MIPS a non-exclusive, worldwide, royalty-free, perpetual, non-revocable license to use, distribute, adapt, modify, display, reproduce and transmit such information in any and all media in any manner in whole or in part without any duty to account to you. You also grant MIPS the right to grant licenses to users of the Site to view and copy such information.
  4. MIPS’ Rights. MIPS reserves the right to edit or delete any information submitted to the Site, including without limitation any message which contravenes the rules above. Should you find any message which you feel is in contravention of the above rules, please let us know by emailing us at MIPS (info@mips.com).

II. MIPS Services

  1. General. MIPS Services include but are not limited to the following features:
    1. Learning through trainings, videos, and tools that enable you to document your products and track application notes.
    2. Developing your product or service through cloud hosted tools that enable you to use processor models, configure specific tools, and explore IP.
    3. Accessing and engaging with our IP delivery suite, software source code, demo sources, and customer support portal provided to you as part of the Services.
  2. License to Services. If you are a company user who has an account with us, you may have access to certain Services available on our platform, including support, documentation, and downloadable software, updates, plugins, extensions, tools, or applications (“Downloadables”). For the avoidance of doubt, all Downloadables are subject to the terms and conditions of the Agreement, and you agree to these Terms by installing or using any Downloadable. Subject to the payment of all fees, MIPS grants the company its company users a limited, non-transferable, revocable license and right to use the Services and any Downloadables available through the Services in accordance with the terms herein and in the applicable Agreement. Your company will be fully liable for the acts, omissions or violation of the terms of these Terms by any and all of its employees. Except for the express licenses granted in this Section, no other rights are granted by MIPS hereunder, by implication, estoppel or otherwise, and all rights not expressly granted herein are reserved.
  3. Account.
    1. Registration. To access the Services, you must request MIPS to register an account for each company user. Once we have created the account, the company user must use the passkey provided by MIPS to login, and you and the company user agree to take all reasonable measures to ensure the protection of this passkey. When requesting the creation of an account, we will ask company users to warrant that they: (i) are providing true, accurate, current and complete information as requested by the registration form for the Service, and (ii) will maintain and promptly update such information to keep it true, accurate, current and complete.
    2. Connectivity. You are responsible for providing adequate Internet connectivity, software and hardware to be able to access and use the Service. You understand that in order to use the Services, a modern browser such as the latest version of Firefox, Safari or Google Chrome is recommended. Additionally, a stable connection to the Internet is required. The Services may work in a limited manner on other web browsers and earlier versions of the recommended browsers, but please keep in mind that the Service was not designed for use or compatibility with web browsers other than the ones we specifically recommend here. You are responsible for procuring and maintaining all hardware, software and telecommunications services needed to connect to the Service and for paying all third-party access charges (e.g., Internet service provider fees).
    3. Security. A company user’s account login is personal to such user and may not be shared or used by anyone else. Each user is entirely responsible for maintaining the confidentiality of his or her user account password and must agree not to disclose such password to any other user or third party or let any third party use the Services on his or her behalf. You must contact us immediately if you suspect misuse of a user’s account or any security breach in the Services. Please be aware that each company is responsible for any and all activity occurring through its company users’ accounts, whether or not it actually authorized that activity.
  4. Support and Service Commitments. MIPS will use commercially reasonable efforts to provide updates and maintain the Services but expressly disclaims all service level commitments and response times. Any issues with the Service may be submitted to support@mips.com and MIPS may use commercially reasonable efforts to resolve any such issues at its sole discretion.
  5. Restrictions. In addition to the prohibited uses provided below in Section III, you agree not to:
    1. Reverse engineer any part of the Site or the Services;
    2. Intentionally break the Site or the Services;
    3. Use the Services in any region which violates export control restrictions; or
    4. Publish any benchmark information related to the Downloadables or Services without MIPS prior written authorization.
  6. Disclaimers: For the avoidance of doubt, MIPS delivers the performance model and any shared data as is, and does not guarantee any results, including workload or RTL capacity.

III. Uses of the Site and Services

  1. Prohibited Uses. You must not:
    1. Use the discussion boards on the Site to display, or use the Services and tools therein to display or transmit any materials which are:
      • in contravention of any relevant local, national or international law or which incites or encourages the contravention of any such law
      • racist, sexist or homophobic
      • pornographic, obscene, profane or vulgar
      • libelous, pornographic, or defamatory of any person, entity or organization
      • abusive, threatening or otherwise likely to be harmful or otherwise offensive in the opinion of MIPS
      • infringing of the rights (including the intellectual property and privacy rights) of any person
      • related to the conduct of a business; or
      • unsolicited email, SMS or “spam” messages.
    2. Directly or indirectly, on your own or through a company user or any third party:
      • Use the Site or Services in any manner or for any purpose other than as expressly permitted by these Terms;
      • Use the Site and Services in violation of any federal, state, local, or international laws or regulations;
      • Copy, circulate, or distribute any part of the Site or Services without our prior written consent except to the extent permitted by these Terms;
      • Share your log-in, password or otherwise permit a third party to access or use your account or that of another user;
      • Reproduce, duplicate, copy, sell, resell, rent, lease or exploit any portion of the Site or Service, use of the Service, or access to the Service without our prior written consent except to the extent permitted by the Site, Service or these Terms;
      • Use the Site or Service to store or transmit malicious code, viruses, Trojan horses or worms of a destructive nature or that may damage or harm the Site or Service and/or our computer systems;
      • Interfere with any other user’s use or enjoyment of the Site or Service;
      • Attempt to gain unauthorized access to the Service or to another user’s account or any related systems or networks;
      • Copy the user interface design, workflow or any features of the Site or use any of the foregoing for any purpose other than in connection with the Service as provided herein;
      • Modify, publish, transmit, reproduce, create derivative works from, distribute, display, link to, frame with other content or incorporate into another website the Service, in whole or in part;
      • Impersonate or misrepresent any individual or company to us; orDuplicate, copy or reuse any portion of the HTML/CSS or visual design elements of the Site without our prior written consent.
  2. Notice of Unauthorized Use. You must immediately notify us of any unauthorized use of your account or the Services that comes to your attention. In the event of any such unauthorized use, you will take all steps necessary to terminate such unauthorized use. Additionally, you will provide us with such cooperation and assistance related to any such unauthorized use as we may reasonably request.
  3. Termination or Account Suspension. MIPS reserve the right to suspend or delete your account, or to revoke your access to the Site or Services with or without cause.

IV. Changes the Services; Special Terms and Conditions

  1. Changes to the Services. You understand that the Services may change over time as we refine and add more features or tools. We reserve the right to update, modify or discontinue any features, functionality, content or other aspects of the Site or Services, at any time, with or without notice, in our sole discretion. MIPS does not guarantee any particular outcomes. Any new functionalities or features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to these Terms and the Agreement.
  2. Special Terms and Conditions. Special terms and conditions apply to the use of certain features of the Site or Services. These are indicated on the relevant pages and form part of these Terms as if set out in full herein.

V. Proprietary Rights

  1. Our Rights. As between you and us, we and our licensors own and reserve all right, title and interest in and to the Site, the Service and the Downloadables, including all intellectual property rights related thereto. You hereby grant to us and our third-service providers the right to use, modify, adapt, reproduce, distribute, display and disclose any information or data you transmit through the Service solely to the extent necessary to provide you with the Service or as otherwise permitted by these Terms and our Privacy Policy.
  2. Third-Party Sites. The Site or Services may link to and content from other internet sites and resources (“Third-Party Sites”). MIPS cannot control such content, and you agree that, without limitation of the terms set out above, MIPS is not responsible for such content. MIPS cannot endorse products or services offered by third parties through such content, regardless of whether or not the link is associated with any offering listed through the Site or Services.

VI. Communications; Privacy and Confidentiality

  1. Consent to Electronic Communications. You understand that we may send you or your employees communications or data regarding the Site or Service, including but not limited to notices about use of the Site or Service (including any notices concerning violations of use), updates and promotional information and materials regarding the Site or Service, all in electronic form via the email address or phone number specified when you or your employees registered for a user account. If we send such communications, you and your company users will have the opportunity to opt-out of receiving future messages in accordance with the terms of the Privacy Policy.
  2. Privacy Policy. All the information we collect through or in connection with your use of the Site is subject to our Privacy Policy, which is incorporated by reference into these Terms. Please read our Privacy Policy which sets out the basis upon which MIPS will hold and process any personal data which you provide to us and from which you can be identified.
  3. Confidential Information. “Confidential Information” means information that is not generally known and that is proprietary to a Party or any of its affiliates or that such Party or any of its affiliates is obligated to treat as confidential, including, without limitation: (i) information about the Party and its products or services, including trade secrets; (ii) information concerning the Party’s business, as conducted or as it may conduct it in the future; (iii) information about employees; and (iv) as to a company, information about the company’s relationship with MIPS, including the existence of these Terms and the fact that MIPS is performing services for the company. Any information that a party considers or should reasonably consider Confidential Information, or that the disclosing party treats as Confidential Information, will be presumed to be Confidential Information (whether the receiving party or others originated it and regardless of how the receiving Party obtained it). Confidential Information does not include information (w) which becomes publicly available from a source other than the receiving party, or (x) which is received by the receiving party after expiration or termination of these Terms from a source which has the right to disclose such information and did not obtain the information directly or indirectly from employees or agents of the disclosing party, or (y) which was independently developed without use of or reference to the disclosing party’s Confidential Information, or (z) for which disclosure thereof the disclosing party has consented in writing. Upon receipt of a written request from the disclosing party, the receiving party will return to the disclosing party any and all Confidential Information it received from the disclosing party, or at the receiving party’s option, destroy such Confidential Information.
  4. Cookies. The Site uses cookies, white are small pieces of data (normally numbers and letters) which may be stored on your computer’s hard drive by websites that you visit. Please refer to our Privacy Policy for more information.

VII. Warranties; Disclaimer

MIPS endeavors to ensure the accuracy of all content of the Site and Services. However, this cannot be guaranteed, and MIPS’ liabilities are excluded and/or limited as set out below.

  1. Disclaimers.
    1. General
      1. The content of the Site and Services is provided for information purposes only and you should not rely upon it in making or refraining from making any decision or in taking or refraining from taking any action. No advice or information, whether oral or written, obtained by you in connection with the Site or Services will create any warranty not expressly stated in these Terms.
      2. We do not guarantee or warrant any information or other content that you view or receive while using the Site or Services. You understand and acknowledge that you should not rely solely on any advice or information received through the Site or Services to make any commercial, personal or other decisions.
      3. You also understand that we cannot and do not guarantee or warrant: that the Site, Services, or any files, content or information available for download from the internet or through the Site or Services (including Third-Party Sites linked hereto), will be free of viruses or other harmful code. You alone are responsible for implementing sufficient procedures to satisfy your particular requirements for antivirus protection, accuracy of data and for maintaining external means to the Site or Services for any reconstruction of any lost data.
      4. Each user of the Site and Services hereby agrees that he or she is owed no duty of care or other obligation by MIPS and that insofar as he or she may be owed any such duty or obligation, he or she waives any rights which he or she may have in respect of such duty or obligation.
    2. THE SITE, SERVICES, AND ALL INFORMATION AND OTHER CONTENT IT CONTAINS ARE PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND. WE EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY INFORMATION, ADVICE OR OTHER CONTENT PROVIDED THROUGH THE SITE WILL BE ACCURATE, HELPFUL, OR SOLVE ANY PARTICULAR PROBLEM, ISSUE OR CONCERN, OR THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE OR RELIABLE. YOU AGREE THAT YOUR USE OF THE SITE IS ENTIRELY AT YOUR OWN RISK. MIPS HEREBY EXCLUDES ALL AND ANY LOSSES, LIABILITIES, CLAIMS, DAMAGES, EXPENSES OR COSTS (WHETHER AS A CONSEQUENCE OF ITS NEGLIGENCE OR OTHERWISE) ARISING IN CONNECTION WITH: (i) YOUR USE OR INABILITY TO USE THE SITE OR THE SERVICES OFFERED FROM TIME TO TIME THEREIN, (ii) ANY UNAUTHORIZED ACCESS TO OR ALTERATIONS OF INFORMATION PROVIDED BY YOU, (iii) YOUR USE OF ANY THIRD-PARTY SITES OR CONTENT (INCLUDING WITHOUT LIMITATION THOSE THAT MAY BE CONNECTED BY HYPERLINK TO THE SITE), (iv) ANY ARRANGEMENTS ENTERED INTO WITH ANY THIRD PARTY IN CONNECTION WITH ANY INFORMATION PROVIDED BY OR IN CONNECTION WITH THE SITE, (v) THE INACCURACY, INCOMPLETENESS OR TARDINESS OF ANY INFORMATION SUPPLIED THROUGH THE SERVICE, AND (vi) OTHER THAN, IN EACH CASE, ANY LIABILITY IN RESPECT OF DEATH OR PERSONAL INJURY.

VIII. Indemnification

You agree to indemnify, defend and hold harmless MIPS and all officers, employees and agents of MIPS from any and all losses, liabilities, claims, damages, expenses or costs asserted by any third party or otherwise incurred or suffered by MIPS in connection with your use of the Site and Services, including without limitation any claims, losses or damages relating to any information, comments or other content you post on the Site, or your beach or violation of these Terms.

IX. Limitation of Liability

MIPS SHALL NOT BE LIABLE TO YOU OR ANY OTHER PARTY FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, LOST PROPERTY, PERSONAL INJURY, OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MIPS SHALL NOT BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND OUR REASONABLE CONTROL. SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

X. Feedback

We appreciate hearing from you and welcome your comments about our Site, including whether you like it, what is most useful, any malfunctions, downtime, inappropriate content or complaints (collectively, “Feedback”). In the event that you provide us with comments, suggestions, recommendations or other feedback with respect to the Service (including, without limitation, with respect to modifications, enhancements, improvements and other changes to the Service), you hereby grant to us a world-wide, royalty free, irrevocable, perpetual license to use and otherwise incorporate any such feedback you provide us into the Service. We are free to use Feedback in any manner or for any purposes we see fit, without any notice or compensation to you.

XI. General Terms

  1. Governing Law. Any claim relating to this Site or its use and materials herein is governed by the laws of the State of California, USA, without regard to conflicts of laws principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Santa Clara County, California, for the resolution of any and all disputes arising out of or relating to your access to and use of the Site. You further agree and covenant not to bring suit in any other jurisdiction. You expressly disclaim the applicability of the United Nations Convention on the International Sale of Goods to your access or use of this Site or its contents. If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
  2. Miscellaneous. We reserve the right to change these Terms at any time. Any amendments will be effective upon our providing notice of such updated Terms to you (a) by email sent to the address associated with your account, or (b) by posting a prominent notice of such change on the Site. Your continued access or use of the Site or Services after such notice constitutes your consent to be bound by the amended Terms. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and be enforceable. These Terms, together with any Agreement you or your company may enter into with us, are the complete and exclusive statement of the terms and conditions governing your use and access of the Site and Services, and they supersede and cancel all previous written and oral agreements, communications and other understandings relating to the subject matter of these Terms. No agency, partnership, joint venture or employment is created as a result of these Terms, and you do not have any authority of any kind to bind us in any respect whatsoever. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You may not assign these Terms without our prior written consent. MIPS may assign or transfer these Terms, in whole or in part, without restriction.
